Virtual Annual Stockholder's Meeting - 2021

ATTENTION!, if you plan to attend this year’s Annual Stockholders Meeting and your stock is held at a brokerage firm like E*Trade, Ameritrade, Schwab, Morgan Stanley, etc., you will need to obtain from your brokerage firm a legal form of proxy and that legal form of proxy needs to be sent to proxy@issuerdirect.com at least 48 hours prior to the meeting. Request that your brokerage firm email you the Legal Form of Proxy.

You will then be issued a Control ID and Request ID from Issuer Direct to enter the meeting.

To get the legal form of proxy, stockholders must contact their broker/brokerage firm and ask for one.

If your broker is unfamiliar with obtaining a legal form of proxy, he/she should be advised that it is generated by the brokerage firm’s Compliance Office.

The 2021 Annual Meeting of Stockholders will be held on Thursday June 3rd 2021. Due to the coronavirus pandemic, the meeting will be conducted as a “virtual” meeting.

To attend the virtual meeting, you must be a VirnetX stockholder as of the record date for the annual meeting April 9th, 2021.

Only stockholders of record of VirnetX as of the close of business on the record date April 9th, 2021 (the “Record Date”), are entitled to vote shares (held as of the Record Date) at the annual meeting.

If you hold shares as the beneficial owner through a bank or broker (that is, in “street name” through the Depositary Trust Company (“DTC”)) then you are not a stockholder of record. You must either (A) instruct your bank or broker to vote shares that you beneficially own as of the Record Date via the record holder, DTC, or (B) obtain a “legal proxy” from the record holder, DTC, to vote your shares beneficially owned as of the Record Date at the annual meeting.

Instructions for attending the Annual Shareholders Meeting will be in your proxy materials or you can call your bank or brokerage representative.

Please note screen recording or audio recording of any kind is not permitted at the Annual Meeting.
